PLATFORM USE AND CONTENT POLICY

This Platform Use and Content Policy (this "Policy") applies to all users, visitors, customers, partners, contributors, affiliates, contractors, and other persons who access or use any Macora, LLC website, application, platform, marketplace, referral service, community feature, communication tool, or related service (collectively, the "Platform"). This Policy supplements Macora’s Terms of Use and any other applicable contract with Macora. In the event of a conflict between this Policy and the Terms of Use relating to acceptable use, content standards, copyright or intellectual property complaint procedures, or platform enforcement, this Policy controls to the extent of that conflict.

1. Purpose

Macora seeks to maintain a lawful, safe, and trustworthy platform environment. This Policy describes prohibited conduct, content standards, Macora’s enforcement rights, and Macora’s process for reporting copyright and other intellectual property concerns.

2. Prohibited Conduct

(a) Violating any applicable law, regulation, court order, or third-party right.

(b) Uploading, posting, transmitting, distributing, or otherwise making available content that is unlawful, defamatory, harassing, abusive, threatening, hateful, fraudulent, infringing, invasive of privacy, or otherwise objectionable.

(c) Impersonating any person or entity, misrepresenting affiliation, or using false or misleading account, profile, business, or review information.

(d) Submitting fake leads, fake traffic, fake referrals, fake reviews, manipulated metrics, or other deceptive or commercially abusive activity.

(e) Collecting, scraping, harvesting, indexing, copying, or extracting data from the Platform except as expressly authorized by Macora in writing.

(f) Attempting to gain unauthorized access to accounts, systems, APIs, credentials, data, or networks, or testing vulnerabilities without authorization.

(g) Introducing malware, spyware, ransomware, harmful code, bots, denial-of-service tools, or other harmful technology into or through the Platform.

(h) Interfering with the proper operation, security, performance, or integrity of the Platform.

(i) Using the Platform to transmit spam, phishing messages, unlawful marketing messages, or other unauthorized communications.

(j) Using content, data, outputs, or insights from the Platform to develop, train, improve, or operate any competing product, service, marketplace, or model without Macora’s prior written consent is strictly prohibited.

3. User Content Standards

Any content, listings, submissions, materials, comments, reviews, messages, images, videos, audio, data, or other material submitted to or through the Platform (“User Content”) must be accurate to the user’s knowledge and must not:

(a) Infringe, misappropriate, or violate any copyright, trademark, trade secret, patent, privacy, publicity, contractual, or other right.

(b) Contain viruses, malicious code, or hidden functionality.

(c) Contain confidential or personal information of another person without lawful authority and any required consent.

(d) Promote illegal activity, violence, discrimination, or unsafe conduct.

(e) Contain false endorsements, fabricated testimonials, undisclosed sponsored statements, or deceptive comparative claims.

(f) Be designed to manipulate marketplace rankings, reviews, lead quality, or engagement metrics.

4. Platform Rights and Enforcement

Macora may monitor, investigate, remove, restrict, disable, preserve, or disclose content, accounts, or activity where Macora believes, in its discretion, that doing so is advisable to enforce this Policy, protect users, protect Macora, comply with law, respond to legal process, address safety or security concerns, or prevent fraud, abuse, or infringement.

Macora may suspend or terminate access to the Platform, remove content, reject listings or referrals, reverse credits or fees, disable integrations, and take any other reasonable protective action in response to suspected noncompliance.

5. Copyright Complaints

If you believe that content on the Platform infringes your copyright, you may send Macora a written notice containing substantially the following information:

(a) A physical or electronic signature of the copyright owner or a person authorized to act on the owner’s behalf.

(b) Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by one notice, a representative list of those works.

(c) Identification of the material claimed to be infringing or to be the subject of infringing activity, with information reasonably sufficient to permit Macora to locate the material.

(d) Your name, address, telephone number, and email address.

(e) A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law.

(f) A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

6. Counter-Notification Procedure

If Macora removes or disables access to material in response to a copyright complaint, the affected user may send Macora a written counter-notification containing substantially the following:

(a) The user’s physical or electronic signature.

(b) Identification of the material that has been removed or to which access has been disabled, and the location where the material appeared before removal or disabling.

(c) A statement under penalty of perjury that the user has a good-faith belief that the material was removed or disabled as a result of mistake or misidentification.

(d) The user’s name, address, telephone number, and email address, together with a statement that the user consents to the jurisdiction of the federal district court for the judicial district in which the address is located, or if the address is outside the United States, then for any judicial district in which Macora may be found, and that the user will accept service of process from the complaining party or its agent.

7. Other Intellectual Property and Policy Complaints

If you believe content or conduct on the Platform violates your trademark, publicity rights, contractual rights, trade secret rights, or other non-copyright rights, or otherwise violates this Policy, you may contact Macora at:

8. Repeat Infringers and Repeat Violators

Macora may, in appropriate circumstances and in its discretion, suspend or terminate accounts of repeat infringers or repeat violators of this Policy. Macora may also limit distribution, remove content, reject applications, or impose other conditions where repeated problems occur.

9. No Warranty; Reservation of Rights

Macora does not undertake any duty to pre-screen all content or monitor all conduct, and Macora does not guarantee that prohibited content or conduct will never appear on the Platform. Macora reserves all rights and remedies available under its contracts, applicable law, and equity.

10. Contact and Updates

Macora may update this Policy from time to time. Updated versions will be posted with a revised effective date or other notice as Macora deems appropriate.
