TERMS OF USE
These Terms of Use ("Terms") are an agreement between you and Macora, LLC ("Macora," "we," "our," and/or "us"). They describe the rules that apply to your access to and use of Macora’s websites, applications, platform, content, tools, features, and related services (collectively, the "Services").
These Terms apply to your use of Macora as a visitor, user, account holder, affiliate, partner, contractor, advisor, or other participant to the extent applicable to your use of the Services. Macora may also publish supplemental policies, including its Platform Use and Content Policy, which are incorporated by reference into these Terms. In the event of a conflict relating to acceptable use, user content standards, copyright or intellectual property complaint procedures, or platform enforcement, the Platform Use and Content Policy controls to the extent of that conflict.
Definitions
To make this document shorter and clearer, we use the following terms:
"Content" means text, graphics, images, software, data, audio, video, listings, links, tools, resources, and any other materials made available through the Services.
"User Content" means Content you submit, post, upload, transmit, or otherwise make available through the Services.
"Affiliate Program" means any referral, partner, ambassador, or affiliate program offered by Macora from time to time.
"Services" means the websites, applications, software, tools, marketplace features, referral or affiliate features, and related services provided by Macora.
Introduction
Macora Services.
Macora provides a digital platform that may connect users with tools, services, opportunities, content, referrals, offers, marketplace participants, partners, or affiliates. Macora may provide both free and paid features, and may modify or discontinue features at any time.
These Terms of Use are an Agreement.
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
We May Update this Agreement.
We may update these Terms from time to time. Updated Terms will be effective when posted, unless a later effective date is stated. Your continued use of the Services after updated Terms are posted constitutes acceptance of the updated Terms.
Accounts and Eligibility
You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for all activity that occurs under your account. You must notify us promptly of any suspected unauthorized use.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services unless otherwise expressly permitted by us.
Your Use of the Services
You may use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services in a way that infringes the rights of others, violates applicable law, or interferes with the operation, integrity, or security of the Services.
You may not: (a) scrape, crawl, harvest, or use automated means to access the Services except as expressly authorized; (b) reverse engineer or attempt to derive source code from any part of the Services except to the extent prohibited by law; (c) upload malware, malicious code, or harmful content; (d) impersonate another person or misrepresent affiliation; (e) interfere with other users’ use of the Services; or (f) use the Services to transmit unlawful, infringing, deceptive, or abusive content.
Marketplace / Affiliate / Referral Features
Macora may offer marketplace, referral, or affiliate features. Additional terms may apply to particular programs, transactions, or features. Macora is not a party to every transaction or relationship formed through the Services unless expressly stated otherwise.
If you participate in an Affiliate Program or submit endorsements, reviews, or promotional content relating to Macora or third-party products or services offered through the Services, you are responsible for making all disclosures required by applicable law and guidance, including clear and conspicuous disclosure of material connections where required.
Macora may receive compensation from third parties in connection with referrals, affiliate links, or partnerships. Such compensation may influence the placement or visibility of certain offerings.
User Content
You retain ownership of User Content you submit, subject to the rights you grant to Macora in these Terms. By submitting User Content, you grant Macora a non-exclusive, worldwide, royalty-free, sublicensable license to host, use, reproduce, modify, adapt, publish, display, distribute, and otherwise exploit that User Content as reasonably necessary to operate, improve, promote, and provide the Services.
You represent and warrant that you own or control all rights necessary to submit User Content and that your User Content does not violate applicable law or the rights of any third party.
Macora Content and Intellectual Property
As between you and Macora, the Services and all Content provided by Macora, including software, design, logos, trademarks, service marks, features, compilations, and related intellectual property, are owned by Macora or its licensors and are protected by applicable law.
Except for the limited right to access and use the Services in accordance with these Terms, no license or right is granted to you by implication, estoppel, or otherwise.
Third-Party Content and Services
Macora provides access to third-party tools, services, and opportunities for informational and convenience purposes only. Macora does not own, operate, control, endorse, or guarantee any third-party provider, offering, or outcome. The Platform may contain links to third-party websites or services. Macora is not responsible for the content, policies, or practices of any third-party sites. Any interaction, transaction, or agreement between you and a third party is solely between you and that third party, and Macora disclaims all liability arising from such interactions. Once you leave the Platform, Macora’s Terms no longer apply.
Fees and Payments
Certain Services may require payment. If you purchase a paid feature, subscription, listing, or other service, you agree to pay all applicable fees, taxes, and charges described at the time of purchase. Additional billing, renewal, refund, cancellation, or payout terms may apply to specific Services or programs.
Disclaimers
The services and all content are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, Macora disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment.
Macora does not guarantee that the Services will be uninterrupted, secure, error-free, or free from harmful components, or that any content, opportunity, referral, lead, listing, or transaction will result in any particular outcome.
Macora makes no representations or warranties regarding any results, earnings, employment outcomes, business success, or other benefits that may be obtained through use of the Platform or any third-party services. All information is provided for general informational purposes only and does not constitute professional, financial, legal, or career advice.
Limitation of Liability
To the maximum extent permitted by law, Macora and its officers, directors, employees, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the services or these terms, even if advised of the possibility of such damages.
To the maximum extent permitted by law, Macora’s total liability for all claims arising out of or relating to the services or these terms shall not exceed the greater of (a) the amount you paid to Macora for the applicable service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred dollars ($100).
Indemnification
You agree to defend, indemnify, and hold harmless Macora and its officers, directors, employees, affiliates, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Services, your User Content, your violation of these Terms, or your violation of any rights of another.
Termination
We may suspend or terminate your access to all or part of the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk or potential legal exposure, or if suspension or termination is otherwise necessary to protect the Services, Macora, or other users.
You may stop using the Services at any time. Provisions that by their nature should survive termination shall survive, including ownership, disclaimers, limitation of liability, indemnification, dispute resolution, and general provisions.
Dispute Resolution and Governing Law
These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Services shall first be submitted to non-binding mediation in San Diego County, California. If the dispute is not resolved through mediation, the parties agree that the state and federal courts located in San Diego County, California shall have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.
General
These Terms constitute the entire agreement between you and Macora concerning the Services, except where additional terms apply to a specific feature or program. If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect. Macora’s failure to enforce any provision shall not be deemed a waiver. You may not assign these Terms without Macora’s prior written consent. Macora may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
